Terms and Conditions

Definitions:

  • The “Customer” means the person/s or company from whom the order was received or its legal assigns or successors.
  • The “products and/or goods” means those items specified in the order accepted by Karo Australia Pty Ltd.
  • “Karo” means Karo Australia Pty Ltd.
  1. TERMS OF PAYMENT
    Payment Terms are stipulated on all quotes. Payment is by credit card or direct deposit into our account in advance of delivery, unless previously approved by Karo.
  2. QUOTE VALIDITY
    Quotes are valid for 21 days from quote date unless specified otherwise.
  3. PURCHASE ORDERS
    Purchase orders placed by any person or company through its employees, whether in writing, electronically or verbally, are deemed to incorporate these terms and conditions.
  4. CUSTOMER SUPPLIED PRODUCT
    Karo does not accept any liability for the quality or accuracy of any customer supplied or specified product, specifically upholstery coverings.
  5. CANCELLATION OF ORDERS
    Karo reserves the right to charge for all material, production and administration costs incurred prior to cancellation.
  6. PRICES
    Unless specified otherwise, all items will be charged at the quoted prices in Australian dollars and are subject to Australian Goods and Services Tax (GST).
  7. QUANTITIES AND UPHOLSTERY
    All quotes are based on the quantities and upholstery covering/s specified in the quote. Changes to quantities and/or upholstery may be subject to further price negotiation.
  8. PRODUCT DESIGN & SPECIFICATIONS
    Karo reserves the right to commercially match colours and upholstery. Furthermore, as part of our philosophy of continual product improvement, we reserve the right to alter the specifications of our products and we cannot guarantee that new orders will be an exact match to any previous orders.
  9. DELIVERY LEAD TIME
    The quoted delivery lead time may be impacted by the availability of components (including upholstery material), and sea freight shipping from our factory in South Africa to Australia (Sydney). Lead times are therefore not exact and are subject to variation.
  10. DELIVERY
    Deliveries may be suspended in the event of any strike, lockout, trade dispute, fire, tempest, breakdown, riot, theft, crime, civil disturbance, war or legislation. Karo will not be responsible for any delay, default, loss or damage due to any of the above causes, or to any cause beyond the control of Karo.
  11. RISK
    The responsibility for loss or damage of goods shall pass to the Customer upon delivery to the Customer, the Customer’s agent or to a destination nominated by the Customer, or to a carrier nominated by the Customer.
  12. WARRANTY CLAIMS
    Warranty claims must quote invoice number and date of purchase and are subject to approval by Karo. Refer to our Product Warranty for further details regarding warranty claims.
  13. PROPERTY
    Property of the goods shall remain with Karo until payment has been received in full. If payment has not been received in full, or if Karo believes that the Customer may fail to pay for the goods when payment is due, then Karo reserves the right to reclaim the goods not fully paid for.
  14. INTEREST
    If the Customer fails to make payment on the due date, Karo reserves the right to charge interest on amounts outstanding at the rate of 4% above the minimum lending rate of the ANZ Bank as varied from time to time.
  15. INDEMNITY
    Without prejudice to any other rights Karo may have, the Customer shall indemnify Karo for any injury, disability, death, loss, damage or expense incurred should the Customer cancel any order or breach any term hereof.
